Combine first 4 ingredients in heavy saucepan. Bring to a boil and boil for 5 minutes, stirring constantly. Add baking soda and stir. Have popped popcorn in jelly roll pan and quickly pour caramel over popcorn. Bake 1 hour, stirring every 15 minutes.
